Constitution Sub-Committee Minutes 6 August 2010 |

In attendance: Barrie Thistlethwaite, Bernie Russell, Richard Vivian, Ruth Miller, Terry Jackson
The following points were agreed:
- Legal advice will be required regarding the sequence of events for the creation of the constitution of the new club. Specifically, the following issues need to be addressed:
- Who will be able to vote on the constitution:
- all members of Club Sapphire? or
- anyone who has registered interest in joining the new entity? or
- current Tura sporting members? or
- there will be no binding vote?
- Is there a need for an interim constitution? Given the constitution will contain rules about who can vote and the majority required to pass resolutions, the vote and the existence of the constitution seem to be precursors of each other.
- Is the constitution required to be in place prior to members joining the new entity?
Action: Bernie to seek legal advice on these issues through the De-amalgamation Steering Committee.
- Each of the sub-committee members is to read the previous Tura Beach Country Club constitution (and reference the template provided by Piggot Stinson as necessary) and make recommendations about the topics that should be raised with each of the sub-clubs, e.g. composition of the board, voting rights of members, combining men's and women's sub-clubs and so on.
Action: Bernie to send copies of the TBCC and Piggot Stinson contitutions to sub-committee members.
- At the next meeting, we will agree the topics and seek to decide either a recommended position (e.g. the name of the club) or a limited range of options to put to the sub-clubs for each topic. We will then write to each of the subclubs to seek feedback on the positions/options put.
- Once feedback has been received, the sub-committee will meet to come up with a final set of positions/options to take to an open workshop of all interested members. It was agreed that there would be a need to canvas the views of the De-amalgamation Steering Committee at some stage, probably just prior to the workshop.
- While recognising that the membership may wish to review the constitution soon after the formation of the new club, it was agreed that the sub-committee should make every endeavour to ensure that the initial document reflected the will of the vast majority of members.
- To this end, it is highly desirable that there is a formal vote of some description to ratify the constitution, subject to the legal advice to be requested above.
